CAERA β TERMS & CONDITIONS
Effective Date: 20 August 2026
Last Updated: 20 August 2026
1. OVERVIEW
Welcome to CAERA.
The terms "CAERA", "we", "us" and "our" refer to Caera.
Caera operates this website, online store and related services, including the information, content, features, products and services made available through the Website (collectively, the "Services").
The Website is powered by Shopify, which provides the technology and infrastructure that enables Caera to operate its online store.
These Terms and Conditions ("Terms") govern your access to and use of the Services and your purchase of Products and Services from Caera.
By accessing, browsing or using the Website, submitting an Order, accepting a quotation or purchasing from Caera, you acknowledge that you have read, understood and agreed to these Terms and any policies expressly incorporated into them.
If you do not agree to these Terms, you should not use the Website or purchase Products from Caera.
Nothing in these Terms excludes, restricts or waives any consumer right or legal remedy that cannot lawfully be excluded, restricted or waived under South African law.
2. DEFINITIONS
For purposes of these Terms:
"Caera" means Caera and its authorised representatives.
"Customer", "you" or "your" means any person or entity accessing the Website or purchasing Products or Services from Caera.
"Product" means any furniture, furnishing or other physical product offered by Caera.
"Order" means a request submitted by a Customer to purchase one or more Products.
"Confirmed Order" means an Order that Caera has accepted for fulfilment.
"Supplier" means a third-party manufacturer, wholesaler, distributor or other business from which Caera sources Products.
"Special Order" means a Product specifically sourced, customised, personalised, manufactured or ordered for a particular Customer.
"Assembly Service" means professional assembly arranged by Caera.
"Delivery Provider" means an independent courier, logistics company or other delivery service used by Caera.
"Website" means the Caera website and online store, including www.caera.co.za and any associated pages or domains operated by Caera.
3. ELIGIBILITY AND ACCOUNT ACCESS
By using the Services, you confirm that you have the legal capacity to enter into a binding agreement under applicable law.
If you create an account or provide information to Caera, you agree that the information provided is accurate, complete and current.
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.
You may not:
-
impersonate another person;
-
create an account using false information;
-
use another person's account without permission; or
-
use the Website to conduct fraudulent or unlawful activity.
Caera may suspend or terminate access to an account where reasonably necessary because of fraud, security concerns, misuse or material breach of these Terms, subject to applicable law.
4. OUR PRODUCTS
Caera takes reasonable steps to ensure that Product descriptions, photographs, specifications and prices displayed on the Website are accurate.
However, Products may be subject to reasonable variations arising from:
-
manufacturing processes;
-
natural materials;
-
wood grain;
-
fabric;
-
lighting;
-
photography;
-
screen and device settings;
-
Supplier changes; or
-
reasonable production variations.
Colours displayed on different screens may differ from the actual Product.
Product photographs may be illustrative and may not represent every minor characteristic of the Product.
Where dimensions or specifications are important, Customers should review the written Product specifications before placing an Order.
Nothing in this section limits any statutory right relating to Products that do not correspond with the agreed description, specifications or applicable legal requirements.
5. PRODUCT INFORMATION
Some Product information displayed by Caera is supplied by third-party Suppliers.
This may include:
-
Product descriptions;
-
photographs;
-
dimensions;
-
materials;
-
colours;
-
finishes;
-
weights;
-
assembly instructions;
-
warranties; and
-
care instructions.
Caera takes reasonable steps to ensure that material information is accurate.
Where Caera becomes aware of a material error, Caera may correct the information and, where appropriate, contact affected Customers.
6. PRODUCT AVAILABILITY
Products displayed on the Website are subject to availability.
Caera operates a supplier-based fulfilment model and does not necessarily physically hold every Product displayed on the Website in its own inventory.
Website stock information may therefore be subject to confirmation.
Submitting an Order does not necessarily mean that the Product has been physically reserved until Caera has confirmed availability.
If a Supplier informs Caera that a Product is unavailable, discontinued or cannot reasonably be fulfilled, Caera will notify the Customer as soon as reasonably practicable and provide the remedy applicable under the circumstances and South African law.
Where appropriate, Caera may offer:
-
an alternative Product;
-
an updated lead time;
-
cancellation of the affected Product; or
-
a refund or other applicable remedy.
The Customer is not required to accept an alternative Product.
7. SUPPLIER-DEPENDENT FULFILMENT
Certain aspects of Caera's fulfilment process depend on third-party Suppliers.
These may include:
-
stock;
-
manufacturing;
-
production;
-
Product specifications;
-
pricing;
-
dispatch;
-
lead times; and
-
availability.
Caera does not control the internal operations of its Suppliers.
Caera will nevertheless take reasonable steps to manage Supplier-related issues and communicate material changes to Customers.
A Supplier's internal policies do not determine or remove any statutory rights a Customer may have against Caera.
8. ORDERS
When you submit an Order, you are requesting to purchase the selected Products.
Caera may review the Order before accepting it.
An automated confirmation that an Order has been received confirms receipt of the Order but does not necessarily constitute final acceptance.
An Order becomes a Confirmed Order when Caera confirms that the Order has been accepted for fulfilment, subject to payment and Product availability.
Caera may decline or cancel an Order where reasonably necessary, including where:
-
the Product is unavailable;
-
the Product has been discontinued;
-
there is an obvious material pricing or listing error;
-
payment cannot be verified;
-
fraud or unauthorised activity is suspected;
-
the Customer provided materially incorrect information;
-
fulfilment has become impossible; or
-
another lawful reason prevents fulfilment.
Where Caera cancels an Order and a refund is required, the refund will be processed in accordance with applicable law.
9. CUSTOMER ORDER REVIEW
Before submitting an Order, Customers are responsible for checking:
-
Product;
-
quantity;
-
size;
-
dimensions;
-
colour;
-
configuration;
-
price;
-
delivery address;
-
contact information; and
-
optional services.
Customers should use the Website's available review and correction functionality before submitting their Order.
If you identify an error after submitting an Order, you should contact Caera immediately.
Caera will make reasonable efforts to accommodate cancellation or correction requests made before fulfilment has commenced, but cannot guarantee that such requests will always be possible.
10. PRICES
All prices are stated in South African Rand unless otherwise indicated.
Caera aims to display accurate pricing.
Prices may change because of:
-
Supplier price changes;
-
transport costs;
-
manufacturing costs;
-
exchange-rate changes;
-
taxes or duties;
-
promotional changes; or
-
Website errors.
The price applicable to a Confirmed Order will generally be the price communicated to the Customer at the time the Order is accepted.
Where an obvious and material pricing error occurs, Caera may contact the Customer and, where legally permissible, cancel the affected transaction and provide any applicable refund.
11. PAYMENT
Payment must be successfully processed before Caera is required to place a Supplier Order, unless Caera has expressly agreed to alternative payment terms in writing.
Caera may use third-party payment providers.
Customers confirm that they are authorised to use the selected payment method.
Caera does not store or control payment-card information where payment is processed directly through an independent payment provider.
12. QUOTATIONS
Quotations may be subject to:
-
a validity period;
-
Product availability;
-
Supplier pricing;
-
delivery costs;
-
specified quantities; and
-
other conditions stated in the quotation.
A quotation does not constitute final acceptance of an Order unless expressly stated otherwise.
13. LEAD TIMES
Lead times provided by Caera are estimates unless a specific delivery date has been expressly guaranteed in writing.
Lead times may include:
-
Supplier processing or manufacturing;
-
preparation and packaging;
-
dispatch;
-
transport; and
-
final delivery.
Supplier delays, manufacturing delays, transport disruptions and other circumstances outside Caera's reasonable control may affect estimated lead times.
Caera will make reasonable efforts to communicate material delays once it becomes aware of them.
14. DELIVERY
Caera uses independent Delivery Providers.
Delivery charges and applicable delivery arrangements will be communicated during the purchasing process where applicable.
Delivery dates are estimates unless expressly confirmed otherwise.
Caera is not responsible for delays caused solely by circumstances outside its reasonable control, including:
-
courier delays;
-
traffic;
-
severe weather;
-
strikes;
-
transport disruptions;
-
road closures;
-
government restrictions;
-
power failures;
-
Supplier delays; or
-
other comparable events.
Caera will make reasonable efforts to assist Customers where delivery delays occur.
15. DELIVERY ADDRESS AND ACCESS
Customers are responsible for providing an accurate delivery address and relevant access information.
Before delivery, Customers should consider:
-
door widths;
-
gates;
-
corridors;
-
staircases;
-
lifts;
-
ceiling height;
-
loading areas;
-
security restrictions;
-
parking restrictions; and
-
other access conditions.
The Customer is responsible for determining whether the Product can reasonably access and fit within the intended premises.
Caera is not responsible for a Customer's inability to accommodate a Product where the Product supplied corresponds with the agreed specifications and the issue arises from inadequate measurement or access planning by the Customer.
This does not exclude any remedy where Caera supplied a Product materially different from what was agreed.
16. FAILED DELIVERY
A delivery may be unsuccessful where the Customer:
-
is unavailable;
-
provides an incorrect address;
-
fails to provide access;
-
refuses delivery without a lawful reason; or
-
otherwise prevents reasonable delivery.
Where legally permissible, reasonable additional delivery or re-delivery costs caused by Customer-related delivery failure may be charged.
Caera will communicate any applicable additional charge before arranging a further delivery where reasonably practicable.
17. FLAT-PACK PRODUCTS
Certain Caera Products are supplied flat-packed.
Unless professional Assembly has been purchased or expressly included, the Customer is responsible for assembly.
Customers must follow the manufacturer's assembly instructions.
Customers should not assemble a Product where it appears:
-
damaged;
-
defective;
-
incomplete;
-
unsafe; or
-
materially different from what was ordered.
Instead, the Customer should contact Caera.
Caera will not be responsible for damage caused solely by incorrect Customer assembly, misuse, unauthorised modification or failure to follow assembly instructions, to the extent permitted by law.
This does not limit any statutory remedy relating to a Product that was defective before assembly.
18. PROFESSIONAL ASSEMBLY
Where professional Assembly is purchased or expressly included, Caera may arrange an independent assembly technician.
Assembly is limited to the agreed scope of work.
Unless expressly agreed otherwise, Assembly does not include:
-
electrical work;
-
plumbing;
-
construction;
-
structural modifications;
-
wall mounting;
-
drilling into structural surfaces;
-
cutting;
-
altering furniture;
-
removing doors or windows;
-
moving unrelated heavy furniture; or
-
specialist installation.
Customers must provide reasonable access and a safe working environment.
The Customer must disclose known hazards or access restrictions before Assembly begins.
19. ASSEMBLY AND PROPERTY DAMAGE
The Customer is responsible for ensuring that the premises are reasonably suitable for the Assembly Service.
Caera will not be responsible, to the extent permitted by law, for damage caused solely by:
-
undisclosed hazards;
-
unsuitable premises;
-
pre-existing structural defects;
-
inaccessible areas;
-
Customer instructions;
-
Customer modifications; or
-
circumstances outside the reasonable control of Caera or the assembly technician.
Caera remains responsible for its own acts and omissions to the extent required by law.
20. INSPECTION AFTER DELIVERY OR ASSEMBLY
Customers should inspect Products as soon as reasonably practicable after delivery or Assembly.
Where visible damage is identified, Customers should photograph:
-
the Product;
-
packaging;
-
affected areas; and
-
any relevant labels or Product codes.
Where a Product appears materially damaged or defective before assembly, Customers should not assemble or modify it before contacting Caera, unless reasonably necessary for safety.
21. DAMAGE, DEFECTS AND MISSING COMPONENTS
If a Product is damaged, defective, incomplete or materially different from the Product ordered, the Customer should contact Caera.
Caera may request reasonable evidence, including:
-
photographs;
-
videos;
-
Order information;
-
Product codes;
-
packaging photographs;
-
delivery information; and
-
other relevant information.
Caera may investigate the issue with its Supplier, manufacturer, Delivery Provider or assembly technician.
Depending on the circumstances and applicable law, the remedy may include:
-
repair;
-
replacement;
-
replacement components;
-
refund; or
-
another lawful remedy.
22. EVIDENCE AND INVESTIGATION
Caera may reasonably request evidence when investigating a damage, defect or Product complaint.
Customers should not intentionally:
-
alter;
-
repair;
-
dispose of;
-
dismantle; or
-
materially modify
a Product that is the subject of a complaint before Caera has had a reasonable opportunity to assess it, unless reasonably necessary for safety.
Caera may arrange an inspection where reasonably necessary.
Nothing in this section limits a statutory Customer right.
23. RETURNS AND REFUNDS
Caera does not provide an unrestricted contractual right to return every Product simply because a Customer has changed their mind.
Returns, cancellations and refunds are subject to Caera's Refund & Returns Policy, as well as any mandatory rights available to Customers under South African law.
A Supplier's internal "no returns" policy does not remove any statutory right a Customer may have against Caera.
Where a statutory return, cancellation, repair, replacement or refund right applies, Caera will process the matter in accordance with the applicable law.
24. CHANGE-OF-MIND RETURNS
Where no statutory return right applies, Caera may decline a change-of-mind return.
This may be particularly relevant where a Product has been:
-
specifically sourced;
-
customised;
-
personalised;
-
made to order;
-
ordered specifically for the Customer; or
-
committed to Supplier fulfilment.
Any cancellation charge or deduction imposed by Caera must be lawful and reasonable in the circumstances.
25. SPECIAL AND CUSTOM ORDERS
Special Orders may be subject to different:
-
lead times;
-
payment requirements;
-
cancellation conditions;
-
return conditions; and
-
Supplier requirements.
Customers will be informed of material Special Order conditions before the Order is finalised.
Nothing in this section excludes a statutory Customer right.
26. WARRANTIES
Where a Product carries an express manufacturer's or Supplier warranty, the applicable warranty information will be provided where relevant.
Express warranties are additional to statutory rights unless applicable law provides otherwise.
Warranty coverage may not extend to matters such as:
-
misuse;
-
accidental damage;
-
unauthorised modification;
-
incorrect assembly;
-
ordinary wear and tear; or
-
failure to follow care instructions,
where exclusion is legally permissible.
27. PRODUCT CARE
Customers are responsible for using and caring for Products in accordance with applicable manufacturer instructions.
Failure to follow appropriate care instructions may result in deterioration or damage.
Caera will not be responsible for damage caused solely by misuse, neglect or unauthorised modification where permitted by law.
28. OUTDOOR FURNITURE
Outdoor furniture requires appropriate care and maintenance.
Depending on the Product, exposure to:
-
sunlight;
-
rain;
-
moisture;
-
humidity;
-
wind; and
-
environmental conditions
may result in natural fading, weathering or deterioration.
Customers should follow the manufacturer's care instructions.
Outdoor furniture is not necessarily completely weatherproof or maintenance-free.
29. WHOLESALE AND B2B ORDERS
Caera may offer wholesale and B2B purchasing.
Wholesale Customers may be required to register and provide business information before receiving access to wholesale pricing.
Separate Wholesale/B2B Terms may apply to:
-
minimum quantities;
-
payment;
-
credit;
-
quotations;
-
delivery;
-
lead times;
-
cancellation;
-
returns;
-
warranties; and
-
commercial disputes.
Where separate written B2B Terms apply, those terms will prevail to the extent of any inconsistency.
Wholesale pricing and non-public Supplier information are confidential.
30. THIRD-PARTY SUPPLIERS
Caera may source Products from independent Suppliers.
Caera is not the manufacturer of a Product unless expressly stated otherwise.
However, Caera remains responsible for complying with obligations applicable to Caera as the supplier of Products to Customers.
Supplier policies do not override mandatory Customer rights.
31. SHOPIFY
Caera is powered by Shopify.
Shopify provides technology and infrastructure enabling Caera to operate its online store.
Purchases made through the Website are transactions between you and Caera.
Shopify is not the seller of Caera's Products and is not responsible for the fulfilment, quality, condition, delivery, assembly or warranty of Products purchased from Caera.
Shopify may process information necessary to provide its platform services in accordance with applicable privacy terms.
32. THIRD-PARTY SERVICES
Caera may use third-party providers for:
-
payment processing;
-
delivery;
-
logistics;
-
assembly;
-
hosting;
-
communications;
-
analytics;
-
technology; and
-
other operational functions.
Caera is not responsible for the independent operation of third-party services beyond obligations imposed on Caera by applicable law.
Where a third-party service is required to fulfil your Order, relevant information may be shared with that provider in accordance with Caera's Privacy Policy and applicable law.
33. THIRD-PARTY LINKS
The Website may contain links to third-party websites.
These links are provided for convenience.
Caera does not control third-party websites and is not responsible for their:
-
content;
-
availability;
-
security;
-
privacy practices; or
-
terms.
Customers should review the relevant third party's terms and privacy policy before using its services.
34. INTELLECTUAL PROPERTY
Caera's original Website content, branding, logos, photographs, graphics, written material, designs and other original content are owned by or licensed to Caera and may be protected by applicable intellectual-property laws.
You may use the Website for lawful purposes but may not, without Caera's written permission:
-
reproduce;
-
copy;
-
modify;
-
distribute;
-
republish;
-
commercially exploit; or
-
create derivative works from
Caera's original content.
Third-party trademarks and Product materials remain the property of their respective owners.
35. CUSTOMER REVIEWS AND FEEDBACK
If you voluntarily submit a review, testimonial, photograph, suggestion, comment or other feedback to Caera ("Feedback"), you grant Caera a non-exclusive, royalty-free licence to use, reproduce, display and publish that Feedback for purposes including operating, improving and marketing Caera's business, subject to applicable law.
You confirm that:
-
you have the necessary rights to submit the Feedback;
-
the Feedback is not knowingly false or misleading; and
-
the Feedback does not unlawfully infringe another person's rights.
Caera may remove Feedback that it reasonably considers fraudulent, unlawful, defamatory, abusive, misleading or inappropriate.
36. ERRORS, INACCURACIES AND OMISSIONS
The Website may occasionally contain:
-
typographical errors;
-
pricing errors;
-
Product description errors;
-
availability errors;
-
specification errors;
-
promotional errors; or
-
technical errors.
Caera may correct errors when identified.
Where a material error affects an Order, Caera may contact the Customer and, where legally permissible, correct or cancel the affected transaction.
Nothing in this section excludes any Customer right that cannot legally be excluded.
37. PROHIBITED USE
You may not use the Website:
-
for unlawful purposes;
-
to commit fraud;
-
to impersonate another person;
-
to transmit malicious software;
-
to interfere with Website security;
-
to unlawfully collect personal information;
-
to place fraudulent Orders;
-
to infringe Caera's intellectual property;
-
to circumvent security measures; or
-
in a manner that materially harms Caera, its Customers or service providers.
Caera may restrict access to the Website where reasonably necessary to protect its systems, Customers or legitimate business interests, subject to applicable law.
38. AUTOMATED ACCESS AND SCRAPING
Without Caera's prior written permission, you may not use automated systems, bots, scraping tools or other automated processes to systematically extract, copy or reproduce Website content, Product information, pricing or other commercially sensitive information.
This restriction does not apply where access is expressly permitted by law or where Caera has provided written permission.
39. PRIVACY AND POPIA
Caera processes personal information in accordance with applicable South African privacy legislation, including the Protection of Personal Information Act 4 of 2013 (POPIA).
Personal information may be processed for purposes including:
-
processing Orders;
-
payment processing;
-
delivery;
-
Assembly;
-
customer support;
-
fraud prevention;
-
accounting;
-
legal compliance;
-
business administration; and
-
lawful marketing.
Where necessary to fulfil an Order, Caera may share relevant information with:
-
Suppliers;
-
Delivery Providers;
-
assembly technicians;
-
payment providers;
-
Shopify; and
-
other service providers.
Further information is provided in Caera's Privacy Policy.
40. MARKETING COMMUNICATIONS
Where legally permitted, Caera may send promotional communications.
Customers may unsubscribe from marketing communications using the applicable unsubscribe mechanism.
Transactional communications concerning Orders, payments, delivery, Assembly, warranties or customer service may continue where reasonably necessary.
41. WEBSITE AVAILABILITY
Caera does not guarantee that the Website will always be available, uninterrupted or error-free.
The Website may be temporarily unavailable because of:
-
maintenance;
-
technical failures;
-
hosting issues;
-
telecommunications failures;
-
cybersecurity incidents;
-
payment-provider interruptions;
-
software updates; or
-
other circumstances outside Caera's reasonable control.
42. FORCE MAJEURE
Caera will not be responsible for delays or failures caused solely by circumstances outside its reasonable control, including:
-
natural disasters;
-
severe weather;
-
fire;
-
flood;
-
war;
-
civil unrest;
-
strikes;
-
government action;
-
major Supplier disruption;
-
transport disruption;
-
power failures; or
-
telecommunications failures.
Caera will take reasonable steps to minimise the impact of such events.
43. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Caera will not be responsible for loss or damage caused solely by:
-
incorrect information supplied by the Customer;
-
Customer misuse;
-
unauthorised Product modification;
-
incorrect Customer assembly;
-
failure to follow Product instructions;
-
failure to disclose relevant access restrictions;
-
unsuitable premises;
-
circumstances outside Caera's reasonable control; or
-
an independent third party's acts or omissions where Caera did not cause or contribute to the loss.
Nothing in these Terms excludes or limits liability or a consumer remedy that cannot lawfully be excluded or limited.
44. CUSTOMER INDEMNIFICATION
To the extent permitted by law, you may be responsible for losses directly caused by your:
-
fraudulent conduct;
-
unlawful conduct;
-
intentional misuse of the Website;
-
unauthorised use of Caera intellectual property; or
-
material breach of these Terms.
This section does not require a Customer to indemnify Caera for Caera's own unlawful conduct or liability that cannot legally be transferred to the Customer.
45. COMPLAINTS
Customers should contact Caera directly regarding complaints.
Where appropriate, complaints should include:
-
Customer name;
-
Order number;
-
Product;
-
description of the issue; and
-
supporting photographs or other information.
Caera will investigate complaints and may liaise with Suppliers, manufacturers, Delivery Providers or assembly technicians.
Customers retain all statutory rights available to them.
46. DISPUTE RESOLUTION
Caera will make reasonable efforts to resolve disputes directly with Customers.
Where appropriate, a dispute may be referred to a competent consumer authority, ombud, regulator or other dispute-resolution body.
Nothing in these Terms prevents a Customer from exercising a statutory right to approach an appropriate authority.
47. GOVERNING LAW
These Terms and any transaction between Caera and a Customer are governed by the laws of the Republic of South Africa.
Subject to applicable consumer rights and statutory dispute-resolution mechanisms, disputes may be dealt with by a competent South African court.
48. CHANGES TO THESE TERMS
Caera may update these Terms from time to time.
The latest version will be made available on the Website.
The Terms applicable to an Order will generally be the version in effect and accepted when the Order is concluded, subject to applicable law.
A later amendment will not retrospectively remove a right that has already accrued to a Customer where applicable law prevents such removal.
49. TERMINATION AND SUSPENSION
Caera may suspend or terminate access to the Website where reasonably necessary because of:
-
fraud;
-
unlawful activity;
-
security threats;
-
material misuse;
-
abuse of Caera staff or service providers; or
-
material breach of these Terms.
Termination of access does not affect rights or obligations that have already accrued.
Provisions concerning intellectual property, confidentiality, privacy, liability, dispute resolution and other provisions that by their nature should survive termination will continue to apply.
50. ASSIGNMENT
Customers may not transfer their rights or obligations under these Terms to another person without Caera's prior written consent, except where applicable law permits otherwise.
Caera may transfer or assign its rights and obligations where reasonably necessary for business purposes, including in connection with a sale, restructuring or transfer of the business, subject to applicable law.
51. SEVERABILITY
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be modified or severed to the minimum extent necessary.
The remaining provisions will continue to apply.
52. NO WAIVER
Caera's failure to enforce a provision of these Terms immediately does not constitute a waiver of Caera's right to enforce that provision later.
53. ENTIRE AGREEMENT
These Terms, together with the following documents where applicable:
-
Order confirmation;
-
invoice;
-
quotation;
-
Refund & Returns Policy;

Wholesale/B2B Terms; and
-
other written terms expressly incorporated into the transaction
